Terms and Conditions

These Terms and Conditions (hereinafter, the "Terms") govern access to and use of the platform and services offered by Jorge Acuña Rodríguez (self-employed) through ADW Zenith (https://www.adwzenith.com). Registration, access with a User account or contracting of services implies acceptance of these Terms, the Legal Notice, the Privacy Policy and the Cookie Policy.

1. Identification of the service provider

  • Owner: Jorge Acuña Rodríguez (self-employed)
  • Tax ID (NIF/CIF): Y2464624G
  • Registered address: Calle José Antonio 55, Local 4, Sevilla la Nueva, España
  • Email: contacto@adwzenith.com

2. Purpose

These Terms set out the rules for use of the platform, the conditions applicable to User accounts and, where applicable, the general conditions governing the contracting of technology services (web development, SaaS platforms, AI integration or other services described on the Website).

3. Capacity and registration requirements

The User declares that they are at least 18 years of age (or, where applicable, at least 14 with the consent of their legal representatives where permitted by law) and have legal capacity to enter into binding obligations. The User undertakes to provide truthful, complete and up-to-date information during registration and in their profile.

4. User accounts

4.1. Creation

Access to certain features requires creating an account through the enabled procedure (email and password, and corresponding verification). The User is responsible for safeguarding their credentials and for any activity carried out under their account.

4.2. Voluntary cancellation

The User may request cancellation of their account by contacting contacto@adwzenith.com or through mechanisms enabled on the platform. Cancellation does not exempt the User from payment of amounts already due or from legal obligations to retain data.

4.3. Suspension or cancellation by the provider

The provider may temporarily or permanently suspend or cancel an account, without prejudice to other legal actions, where any of the following grounds apply (non-exhaustive list):

  • Serious or repeated breach of these Terms or of the law.
  • Fraudulent, abusive use or use that puts the security of the platform or third parties at risk.
  • Provision of false data or identity theft.
  • Spam, attacks, unauthorised scraping or reverse engineering activities.
  • Non-payment of contracted services, where payment obligations remain outstanding.

To the extent reasonable, the User will be informed of the measure taken, unless notification is incompatible with security investigations or legal obligations.

5. User conduct rules

The following conduct is prohibited, among others:

  • Using the platform for unlawful purposes, criminal conduct or conduct contrary to morality, public order or third-party rights.
  • Sending unsolicited mass communications (spam), phishing or malicious content.
  • Introducing viruses, malware or carrying out denial-of-service attacks or other acts that impair the availability or integrity of the service.
  • Attempting unauthorised access to systems, accounts or third-party data.
  • Reverse engineering, decompilation, disassembly or unauthorised extraction of source code, except as permitted by law.
  • Systematically extracting data from the platform (scraping) without express authorisation.
  • Impersonating the provider or third parties, or using the brand without authorisation.

6. Contracting of services

6.1. Modalities

Contracting of automatic or recurring services (where offered) may be carried out online through registration and payment. Custom projects generally require a prior proposal accepted in writing (including email or equivalent document).

6.2. Pricing and invoicing

Prices will be communicated clearly before contracting. Unless otherwise indicated, amounts will be understood as including or excluding VAT as specified in each offer. Invoicing will be carried out as agreed (e.g. at the start of each period or according to milestones). The provider may modify prices with reasonable notice (e.g. 30 days) for subsequent periods.

6.3. Subscription cancellation

Where subscriptions exist, the User may cancel them in accordance with the indicated procedure. Unless otherwise agreed or subject to applicable consumer withdrawal rights, access may continue until the end of the already paid period and no partial refunds will be made.

7. Intellectual property

Unless otherwise agreed in writing: (i) the software, design and materials of the SaaS platform are licensed for use, not transferred in ownership; (ii) in custom projects, once the agreed price has been paid in full, specific deliverables may be transferred to the client on the terms of the particular contract, without prejudice to the provider's tools, libraries, know-how and reusable components.

8. Limitation of liability

To the extent permitted by law, the provider does not guarantee uninterrupted availability of the service. Except in cases of wilful misconduct or gross negligence, and without prejudice to mandatory consumer rights, the provider's total liability to the User for claims arising from use of the platform will not, as a general rule, exceed the amount paid by the User in the three (3) months preceding the triggering event, where a payment relationship exists.

9. Amendment of the Terms

The provider may amend these Terms to reflect legal, technical or business changes. Material amendments will be published on the Website and, where applicable, communicated to registered Users. Continued use of the platform after the new conditions take effect will imply acceptance, unless the law requires additional express consent.

10. Governing law and jurisdiction

These Terms are governed by Spanish law and, where applicable, European Union law. For the resolution of disputes, the parties submit to the Courts of Madrid, Spain, without prejudice to mandatory jurisdiction applicable to consumers and users.
